1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Zlorex platform at app.zlorex.com ("Service"), operated by Zlorex ("we," "our," or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Zlorex is an async standup and update tool that enables teams to share progress updates without meetings. The Service includes creating and managing updates, submitting responses, threaded discussions, AI-powered insights, email notifications, and file attachments.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may sign in using your email and password, or through Google or Microsoft OAuth. You must notify us immediately at help@zlorex.com if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload or transmit malicious code, viruses, or any material that could harm the Service or its users.
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems.
• Use the Service to send spam, unsolicited messages, or harassing content.
• Scrape, crawl, or use automated means to access the Service without our written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

5. Your Content

You retain ownership of all content you submit to the Service, including update responses, thread messages, and uploaded files ("Your Content"). By submitting content, you grant us a limited, non-exclusive license to store, display, and process Your Content as necessary to provide the Service.

This includes processing update responses through OpenAI to generate AI-powered insights and summaries for your team. You are responsible for ensuring that Your Content does not violate any third-party rights or applicable laws.

We do not claim ownership of Your Content, and we will not use it for purposes unrelated to providing the Service.

6. Pricing and Payment

Zlorex offers a free tier and paid subscription plans. Pricing details are available on our pricing page.

Paid subscriptions are billed through Dodo Payments. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time from your account settings.

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing period.

7. Availability and Modifications

We strive to keep the Service available at all times but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that affect your use of the Service.

8. Intellectual Property

The Zlorex name, logo, and all related branding, software, and documentation are the intellectual property of Zlorex. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-generated insights and summaries are provided for informational purposes only and should not be relied upon as the sole basis for any decision. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.

11. Limitation of Liability

To the maximum extent permitted by law, Zlorex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold Zlorex harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (such as limitations of liability, indemnification, and intellectual property) will continue to apply.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Zlorex operates, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
